1. Agreement

These Terms of Use (“Terms”) govern your access to and use of the website at https://www.unicornin60.tech and the services offered there (the “Service”), operated by Topchiyska Enterprises LLC, a Michigan limited liability company (“we,” “us,” “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. The Service

The Service uses artificial intelligence, including multiple automated agents, to generate business reports and related analysis. All outputs are informational only and are governed by our AI-Generated Content & No-Professional-Advice Disclaimer and our Third-Party & Named-Business Disclaimer, each incorporated into these Terms by reference.

4. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, incorporated by reference. You agree not to misuse the Service.

You may not use the Service, including its AI agents, to research, plan, build, start, launch, operate, finance, or promote any business, product, service, or activity that is prohibited or illegal under the laws of the United States or under the laws of any other jurisdiction that applies to you. You are solely responsible for ensuring that your intended business and your use of the Service comply with all applicable laws.

5. Fees, subscriptions & billing

Paid features are billed as described at checkout and in our Refund, Billing & Cancellation Policy, incorporated by reference. You authorize us and our payment processor to charge your payment method on a recurring basis until you cancel.

6. Intellectual property

The Service, including its software, design, and content (excluding your inputs and third-party material), is owned by Topchiyska Enterprises LLC and protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service. As between you and us, you retain rights to the inputs you submit; you grant us a license to process them to provide and improve the Service.

7. Disclaimer of warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE, OR THAT THE SERVICE WILL BE UNINTERRUPTED.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPCHIYSKA ENTERPRISES LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY RELIANCE ON ITS OUTPUTS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE MONTH BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $1,000.

9. Indemnification

You agree to indemnify and hold harmless Topchiyska Enterprises LLC from claims and expenses arising out of your misuse of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any lawful reason. Sections that by their nature should survive termination will survive.

11. Governing law & disputes

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws rules.

12. Changes

We may update these Terms. Material changes will be posted with an updated effective date; continued use constitutes acceptance.

Introduction

This Organizational Membership Agreement ("Agreement") is entered into between Topchiyska Enterprises LLC, operator of the Unicornin60.tech AI-powered entrepreneurship platform ("Platform"), and the registered accelerator or incubator organization ("Organization") that has agreed to these terms. This Agreement governs the Organization's participation in the Unicornin60.tech Organizational Membership Program and the access of its members to the Platform.

1. Organizational Registration

Upon acceptance into the Unicornin60.tech Organizational Membership Program, the Organization is granted a collective membership license. This license covers the Organization's active, enrolled members who are registered through the Organization's account. Individual members do not hold independent paid subscriptions — their access is provided through and governed by the Organization's membership.

2. Member Access

Access to the Platform is provided to members as a benefit of their active enrollment in the Organization. Members registered under the Organization's membership are not subject to individual monthly billing. Their access is governed entirely by the Organization's membership agreement and billing arrangement with Topchiyska Enterprises LLC. Individual members will not be charged separately for Platform access while they remain active members of the Organization.

3. Organization's Responsibilities

The Organization assumes full responsibility for managing its members' access to the Platform. Specifically, the Organization agrees to:

• When a member joins: Notify Unicornin60.tech in writing at topchiyskas@gmail.com with the member's first name, last name, and email address to be used for Platform registration, so that access may be provisioned.
• When a member departs: Notify Unicornin60.tech in writing at topchiyskas@gmail.com within 5 days of the person's departure from the Organization. Failure to provide timely notice may result in continued Platform access by a non-member, for which the Organization bears full responsibility.
• Ensure all members comply with the Unicornin60.tech Terms of Use, Privacy Policy, and all applicable legal and ethical standards before their access is requested.
• Ensure that members agree, prior to registration, that they will not use the Platform for any business activity prohibited by applicable law.
• Maintain accurate and up-to-date records of all active members registered under the Organization's membership.

4. Departing Members — Individual Membership Option

A member who departs from the Organization is warmly welcome to continue using the Unicornin60.tech platform by signing up for an individual membership. Individual memberships are available on a month-to-month basis. The departing member's prior access under the Organization's membership does not carry over and a new individual account must be created.

5. Prohibited Use

Neither the Organization nor any of its registered members may use the Unicornin60.tech platform for the research, planning, creation, or operation of any business activity that is prohibited by applicable local, state, federal, or international law. The Organization assumes responsibility for communicating this restriction to all members prior to requesting their registration.

6. Membership Modification & Termination

Topchiyska Enterprises LLC reserves the right to modify, suspend, or terminate the Organization's membership, or the access of any individual member, at any time if the Organization or its members are found to be in breach of this Agreement or the Platform's Terms of Use. The Organization may also request termination of its membership by providing written notice to topchiyskas@gmail.com.

7. No Refunds

All fees paid by the Organization to Topchiyska Enterprises LLC for organizational membership are non-refundable. No refunds will be issued under any circumstances. This policy applies regardless of the number of members utilizing the Platform during any given billing period.
