1. Agreement

These Terms of Use (“Terms”) govern your access to and use of the website at https://www.unicornin60.tech and the services offered there (the “Service”), operated by Topchiyska Enterprises LLC, a Michigan limited liability company (“we,” “us,” “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. The Service

The Service uses artificial intelligence, including multiple automated agents, to generate business reports and related analysis. All outputs are informational only and are governed by our AI-Generated Content & No-Professional-Advice Disclaimer and our Third-Party & Named-Business Disclaimer, each incorporated into these Terms by reference.

4. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, incorporated by reference. You agree not to misuse the Service.

You may not use the Service, including its AI agents, to research, plan, build, start, launch, operate, finance, or promote any business, product, service, or activity that is prohibited or illegal under the laws of the United States or under the laws of any other jurisdiction that applies to you. You are solely responsible for ensuring that your intended business and your use of the Service comply with all applicable laws.

5. Fees, subscriptions & billing

Paid features are billed as described at checkout and in our Refund, Billing & Cancellation Policy, incorporated by reference. You authorize us and our payment processor to charge your payment method on a recurring basis until you cancel.

6. Intellectual property

The Service, including its software, design, and content (excluding your inputs and third-party material), is owned by Topchiyska Enterprises LLC and protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service. As between you and us, you retain rights to the inputs you submit; you grant us a license to process them to provide and improve the Service.

7. Disclaimer of warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE, OR THAT THE SERVICE WILL BE UNINTERRUPTED.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOPCHIYSKA ENTERPRISES LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY RELIANCE ON ITS OUTPUTS. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE MONTH BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $1,000.

9. Indemnification

You agree to indemnify and hold harmless Topchiyska Enterprises LLC from claims and expenses arising out of your misuse of the Service or violation of these Terms.

10. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any lawful reason. Sections that by their nature should survive termination will survive.

11. Governing law & disputes

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-laws rules.

12. Changes

We may update these Terms. Material changes will be posted with an updated effective date; continued use constitutes acceptance.

Support Access. To resolve a technical issue you report to us, our support staff may need to access your account data. We do this only with your consent, only to the extent necessary to diagnose and fix the issue, and such access is logged.

Unicornin60.tech is not directed to individuals under the age of 18. We do not knowingly collect personal information from minors. If we become aware that we have collected such information, we will take steps to delete it promptly.

Our Service may contain links to third-party websites. We are not responsible for the privacy practices of those sites and encourage you to review their privacy policies.

Introduction

This Organizational Membership Agreement ("Agreement") is entered into between Topchiyska Enterprises LLC, operator of the Unicornin60.tech AI-powered entrepreneurship platform ("Platform"), and the registered Economic Development Corporation or Organization ("EDO") that has agreed to these terms. This Agreement governs the EDO's participation in the Unicornin60.tech Organizational Membership Program and the access of its program participants, clients, and staff (collectively, "Members") to the Platform.

1. Purpose & Organizational Registration

Unicornin60.tech recognizes the vital role that Economic Development Corporations and Organizations play in supporting entrepreneurs, small business owners, and community economic growth. Through the Organizational Membership Program, EDOs may provide their clients and program participants with access to the Unicornin60.tech AI-powered entrepreneurship platform as part of their economic development services.

Upon acceptance into the Program, the EDO is granted a collective membership license. This license covers the EDO's active clients, participants, and authorized staff who are registered through the EDO's organizational account. Individual Members do not hold independent paid subscriptions — their access is provided through and governed by the EDO's membership.

2. Member Access & Registration Process

Access to the Platform for individual Members is provided exclusively through the following official process. No Member may self-register independently under the EDO's organizational membership — all access must be requested and authorized through the EDO's designated representative.

To grant a Member access to the Platform, an authorized representative of the EDO must send an official email to: topchiyskas@gmail.com

The official registration request email must include:

• Member's first name
• Member's last name
• Member's email address to be used for Platform registration
• The EDO's name as registered with Unicornin60.tech
• The Member's role or program (e.g., client, program participant, staff)

Upon receipt and verification of the official request, Unicornin60.tech will provision access for the named Member within a reasonable timeframe. Members will receive a registration invitation at the email address provided by the EDO.

3. No Individual Billing

Members registered under an EDO's membership are not subject to individual monthly billing. Their access is governed entirely by the EDO's membership agreement and billing arrangement with Topchiyska Enterprises LLC. Individual Members will not be charged separately for Platform access while they remain active participants under the EDO's program.

4. EDO's Responsibilities

The EDO agrees to:

• Maintain accurate records of active clients, participants, and staff registered under the organizational membership.
• Submit member registration requests only for individuals who are currently active participants or staff of the EDO's programs.
• Promptly notify Unicornin60.tech at topchiyskas@gmail.com when a Member's participation in the EDO's programs ends, so that Platform access may be revoked in a timely manner.
• Communicate the Unicornin60.tech Terms of Use and all applicable usage policies to Members prior to requesting their access.
• Ensure that all Members agree, prior to registration, that they will not use the Platform for any business activity prohibited by applicable law.
• Designate an authorized representative responsible for managing the EDO's membership and member registration requests.

5. Prohibited Use

Neither the EDO nor any of its registered Members may use the Unicornin60.tech platform for the research, planning, creation, or operation of any business activity that is prohibited by applicable local, state, federal, or international law. The EDO assumes responsibility for communicating this restriction to all Members prior to submitting their registration requests. Any violation of this provision may result in immediate revocation of the individual Member's access and, in serious cases, termination of the EDO's organizational membership.

6. Community Impact & Reporting

Unicornin60.tech values its partnerships with Economic Development Organizations and recognizes the community impact of this work. EDOs may be asked to participate in optional impact reporting, such as sharing aggregate (non-personally identifiable) data on the number of entrepreneurs served and businesses supported through the Platform, to help demonstrate the community value of the partnership. Participation in such reporting is voluntary unless otherwise agreed upon in a separate written partnership agreement.

7. Membership Modification & Termination

Topchiyska Enterprises LLC reserves the right to modify, suspend, or terminate the EDO's membership, or the access of any individual Member, at any time if the EDO or its Members are found to be in breach of this Agreement or the Platform's Terms of Use. The EDO may also request termination of its membership by providing written notice to topchiyskas@gmail.com.

8. No Refunds

All fees paid by the EDO to Topchiyska Enterprises LLC for organizational membership are non-refundable. No refunds will be issued under any circumstances. This policy applies regardless of the number of Members utilizing the Platform during any given billing period.
